Terms of Service

1. Services Overview

Altrisight Technologies provides professional software development services, including but not limited to:

• Custom software development and engineering
• Web and mobile application development
• Database design and management
• Cloud integration and migration services
• IT consulting and technical support
• System architecture and design

Specific project scope, deliverables, timelines, and pricing are defined in individual project agreements and statements of work.

2. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond to requests for feedback and approvals in a timely manner
• Designate authorized representatives for project decisions
• Provide necessary access to systems, data, and resources as required
• Comply with all applicable laws and regulations
• Make timely payments according to agreed terms
• Maintain confidentiality of any proprietary information shared by Altrisight

3. Project Engagement Process

3.1 Initial Consultation

We begin with a thorough consultation to understand your requirements and objectives. This discovery phase is typically complimentary and helps us prepare an accurate proposal.

3.2 Proposal and Agreement

Following consultation, we provide a detailed proposal outlining scope, timeline, deliverables, and investment. Work commences upon mutual execution of a services agreement.

3.3 Development and Delivery

We follow an agile methodology with regular communication, progress updates, and milestone reviews. Your feedback is incorporated throughout the development cycle.

3.4 Acceptance and Support

Upon completion, you have a specified acceptance period to review deliverables. Post-launch support and maintenance terms are outlined in the project agreement.

4. Payment Terms

• Invoicing: Invoices are issued according to the payment schedule outlined in your project agreement.
• Payment Due: Payment is due within 30 days of invoice date unless otherwise specified.
• Late Payment: Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law.
• Project Suspension: We reserve the right to suspend work on projects with outstanding payments exceeding 30 days.
• Deposits: Most projects require an initial deposit before work commences, typically 30-50% of the project value.

5. Intellectual Property Rights

5.1 Client IP

You retain all rights to your pre-existing intellectual property, business processes, and proprietary information provided to us.

5.2 Developed IP

Upon full payment, you receive ownership of custom-developed deliverables as specified in the project agreement. This includes source code, databases, and documentation created specifically for your project.

5.3 Altrisight IP

We retain ownership of our proprietary tools, frameworks, methodologies, and pre-existing code libraries. You receive a license to use these components as part of your delivered solution.

5.4 Third-Party Components

Projects may incorporate third-party libraries and components subject to their respective licenses. We ensure compliance with all applicable licensing terms.

6. Confidentiality

Both parties agree to maintain strict confidentiality of proprietary information shared during the engagement. This includes:

• Business strategies and plans
• Technical specifications and architectures
• Source code and algorithms
• Customer data and business information
• Financial information

Confidentiality obligations survive the termination of our engagement for a period of 5 years.

7. Warranties and Representations

7.1 Our Warranties

We warrant that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will materially conform to specifications in the agreement
• We have the right to provide the services and grant necessary licenses
• Our work will not infringe on third-party intellectual property rights

7.2 Warranty Period

We provide a 90-day warranty on delivered work, covering defects in materials and workmanship. This warranty does not cover issues arising from modifications made by third parties or misuse.

7.3 Disclaimer

Except as expressly stated, services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim shall not exceed the amount paid for the specific services giving rise to the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages.
• We are not liable for damages resulting from unauthorized access, data breaches, or system failures beyond our control.
• Liability limitations do not apply to damages caused by our gross negligence or willful misconduct.

9. Change Requests and Scope Modifications

Changes to project scope, requirements, or deliverables must be documented in writing through a change order process. Change orders may affect project timeline and cost. We will provide estimates for requested changes before proceeding with implementation.

10. Project Timeline

We make every effort to meet agreed-upon timelines. However, delays may occur due to:

• Late or incomplete client feedback or approvals
• Scope changes or additional requirements
• Force majeure events beyond our control
• Technical challenges requiring additional research or development

In such cases, timelines will be adjusted accordingly with client notification.

11. Termination

11.1 Termination by Either Party

Either party may terminate the engagement with 30 days' written notice. Client remains responsible for payment of all work completed and expenses incurred up to the termination date.

11.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches the agreement and fails to cure within 15 days of written notice.

11.3 Effect of Termination

Upon termination, we will deliver all completed work and work-in-progress. Rights to deliverables transfer only upon full payment of outstanding amounts.

12. Data Protection and Security

We implement industry-standard security measures to protect client data. However, no system is completely secure. Clients are responsible for maintaining backups and implementing their own security measures for production systems.

13. Support and Maintenance

Post-launch support and maintenance are available through separate service agreements. Standard support includes bug fixes, security updates, and technical assistance. Enhancement requests and new feature development are quoted separately.

14. Indemnification

Each party agrees to indemnify and hold harmless the other party from claims arising from their breach of this agreement, negligence, or willful misconduct.

15. Dispute Resolution

15.1 Negotiation

Parties agree to attempt to resolve disputes through good-faith negotiation.

15.2 Mediation

If negotiation fails, disputes shall be submitted to mediation before pursuing other remedies.

15.3 Governing Law

These terms are governed by the laws of Kenya. Any legal proceedings shall be conducted in Nairobi, Kenya.

16. General Provisions

• Entire Agreement: Project agreements, together with these terms, constitute the entire agreement between parties.
• Amendments: Modifications must be in writing and signed by both parties.
• Severability: If any provision is found unenforceable, remaining provisions continue in full force.
• Assignment: Neither party may assign rights or obligations without written consent, except in case of merger or acquisition.
• Notices: All notices must be in writing and delivered to the addresses specified in the project agreement.
